TriZetto was incorporated in the State of Delaware on May 27, 1997 under its former name M C Health Holdings, Inc.

In October 1997, M C Health Holdings, Inc. exchanged 5,800,895 shares of its common stock for all interests in Croghan & Associates, Inc., a Colorado corporation, and 3,716,667 shares of its common stock for all the equity interests in Margolis Health Enterprises, Inc., a California corporation. Both Croghan & Associates and Margolis Health Enterprises became wholly-owned subsidiaries of MC Health Holdings. On March 18, 1998, the company changed its name to The TriZetto Group, Inc.

TriZetto was a private company from its founding in 1997 until its initial public offering on October 8, 1999. After completing an IPO on October 8, 1999, the company's common stock traded on NASDAQ under the ticker symbol TZIX through August 4, 2008. On August 4, 2008, a take-private transaction was closed by which TriZetto became owned by Apax Partners, funds advised by Apax Partners, BlueCross BlueShield of Tennessee and The Regence Group.

Since August 4, 2008, TriZetto has been owned by Apax Partners, an international private equity fund that has $40 billion invested in market-leading companies in healthcare, technology, telecom, retail, consumer products, media, and financial and business services. Apax has offices in 9 countries. 44% of Apax's invested funds have come from public and private pension funds; 53% of funds are from North America. In 2007 Apax made investments of $5 billion and paid-out more than $5 billion to its investors. Average annual profit growth for companies in the Apax portfolio was 18% over the last 10 years. At year-end 2007, average debt-to-equity ratio of the live portfolio companies was 57% and the average debt coverage was 4.6 times EBITDA.

Some of the recognizable brands in the portfolio include Tommy Hilfiger (fashion), HiT Entertainment (Barney, Thomas and Friends), New Look (women's fashion retail), Capio (healthcare provider), Hub International (insurance broker), Qualitest Pharmaceuticals (pharmaceuticals) and Molnlycke Healthcare (surgical products).
